Declaration of Language Asset Trust

This Declaration is issued by Wekify LLC through Kifuliiru Lab, represented by Ayivugwe Kabemba Mukome as founder and authorized representative. It is a formal, public, and binding statement: all digital assets, platforms, data, tools, and resources developed in relation to the Kifuliiru language are held in trust, not as commercial property, but for the permanent benefit of the Bafuliiru community and the Kifuliiru language.

This document is made publicly available and is intended to be referenced in all future governance structures related to Kifuliiru language assets.

Declarants

Wekify LLC and Kifuliiru Lab, acting through Ayivugwe Kabemba Mukome as founder and authorized representative.

Kifuliiru Language Assets

All data, software, platforms, tools, intellectual property, domain names, databases, corpora, dictionaries, audio recordings, documentation, and research outputs developed in relation to the Kifuliiru language, whether currently existing or developed in the future.

Kifuliiru Lab

The research and development arm operating within Wekify LLC, responsible for NLP research, language documentation, and the scientific advancement of Kifuliiru digital resources. Kifuliiru Lab holds the founding mandate for the Kifuliiru Foundation.

Kifuliiru Foundation

The future independent nonprofit entity to be established by Kifuliiru Lab as the permanent community-governed owner of all Kifuliiru Language Assets.

Bafuliiru Community

The Bafuliiru people collectively, in the DRC, in the diaspora, and wherever they reside, as the rightful cultural owners of the Kifuliiru language and its heritage.

Custodian Period

The period between the date of this Declaration and the Transfer Event, during which Wekify LLC holds Kifuliiru Language Assets in trust as temporary custodian.

Transfer Event

The moment at which legal ownership of Kifuliiru Language Assets is formally transferred from the Declarants to the Kifuliiru Foundation upon its establishment as a nonprofit entity.

The Declarants hereby declare, without condition or ambiguity, that:

Core commitment: We build the tools. The language belongs to its people. These assets are held in trust for the Bafuliiru community, permanently, unconditionally, and without exception.

• Kifuliiru Language Assets Are Not Commercial Property. Although the assets are currently held under the legal name of Wekify LLC as a matter of operational necessity, they are not treated as commercial assets of the company. They are not subject to sale, acquisition, transfer to investors, or use as collateral in any commercial transaction.
• Assets Are Held in Trust for the Bafuliiru Community. Wekify LLC acts as a temporary custodian, not an owner, of Kifuliiru Language Assets. The Bafuliiru community is the true beneficial owner of all such assets, and this status is recognized now, regardless of when the formal Transfer Event occurs.
• Kifuliiru Lab Holds the Founding Mandate. Kifuliiru Lab carries the founding mandate for the Kifuliiru Foundation. When resources and conditions permit, the Foundation will be formally established as an independent nonprofit entity governed by the Bafuliiru community.
• No Commercial Entity Shall Control the Foundation. Wekify LLC may serve as a technology partner and service provider under a written service agreement, but shall hold no ownership stake, controlling interest, or governance authority over the Foundation's decisions regarding Kifuliiru Language Assets.
• Founder and Authorized Representative Commitment. Ayivugwe Kabemba Mukome affirms this Declaration as founder of Wekify LLC and Kifuliiru Lab and as authorized representative of the institution. This commitment means the intent expressed herein survives any change in Wekify LLC's ownership, leadership, or corporate structure.
• This Declaration Cannot Be Revoked Unilaterally. Once published and distributed, this Declaration constitutes a public commitment. Any attempt to treat Kifuliiru Language Assets as commercial property would violate the terms set forth here and the trust placed in the Declarants by the Bafuliiru community.
• Good Faith Obligation During Custodian Period. During the Custodian Period, the Declarants shall maintain and develop the assets in good faith, keep accurate records, avoid actions that diminish their value or integrity, and actively work toward the establishment of the Kifuliiru Foundation.

The following assets are currently held by Wekify LLC and are covered by this Declaration. This registry is a good-faith inventory as of May 2026. It will be updated as new assets are developed.

The technical work underlying the Kifuliiru Language Assets began largely within the knowledge and systems of Ayivugwe Kabemba Mukome. This concentration of knowledge represents a continuity risk that this Declaration explicitly acknowledges and commits to mitigating.

The Declarants commit to maintaining a living technical handover document, progressively sharing technical knowledge with the Founding Circle, and ensuring the assets can be stewarded by the community if the founder is incapacitated, dies, or can no longer fund the work personally.

The Kifuliiru Foundation is designed to be funded by the community it serves. A contribution of $1 per month from a sufficient number of community members can sustain the Foundation's operations for years, independently of any single person's financial circumstances. When the community funds the work, they govern it. Financial participation is an expression of sovereignty.

This Declaration is issued publicly and is intended to be reproduced freely by Wekify LLC, Kifuliiru Lab, the Kifuliiru Foundation, and the Bafuliiru community. It constitutes a binding public commitment.
